ALTANA INC ACQUIRES US DERMATOLOGY BUSINESS

Melville, NY, ― September 30, 2005 ― ALTANA Inc, a wholly owned subsidiary of ALTANA Pharma AG, announced today that it has acquired the prescription dermatology business from GlaxoSmithKline Consumer Healthcare, a division of GlaxoSmithKline Corporation (NYSE: GSK). PharmaDerm, a division of ALTANA Inc, will manufacture and market the former GSK products to include:

· Aclovate® (alclometasone dipropionate), a synthetic corticosteroid.
· Cutivate® (fluticasone propionate), an anti-inflammatory.
· Emgel® (erythromycin), an antibiotic.
· Oxistat® (oxiconazole nitrate), an anti-fungal.
· Temovate® (clobetasol propionate), an anti-inflammatory.

“This transaction represents a key acquisition on the branded side of our business and supports the ALTANA Inc specialty business. It is a significant step in the formation of PharmaDerm and toward achieving our goal of becoming the leading pharmaceutical company specializing in dermatology,” said Paul B. McGarty, Chief Executive Officer of ALTANA Inc.

The acquisition marks an expansion of PharmaDerm’s current portfolio, which includes flagship products ApexiCon E Cream® (diflorasone diacetate cream USP, 0.05% [emollient]) for steroid responsive dermatoses such as eczema, psoriasis and contact dermatitis and ClindaMax® Lotion (clindamycin phosphate topical suspension USP, 1%), for the treatment of acne. "This acquisition represents our ongoing commitment to expand our business by providing dermatologists with additional solutions for their patients’ needs," said Malcolm McCoy, Vice President of Sales and Marketing at PharmaDerm. “The addition of new product lines allows us to significantly enhance our existing sales and marketing capability and to broaden our offering to the dermatology marketplace.”

In March 2005, GlaxoSmithKline received FDA approval for Cutivate® Lotion. Yet to mark its official launch, Cutivate Lotion will add a valuable exclusive asset to PharmaDerm’s product portfolio. "We will move forward with plans to launch Cutivate Lotion this fall and are especially excited about offering dermatologists an effective, mid-potency steroid for their adult and pediatric patients,” McCoy added. Financial terms of the deal were not disclosed.
